Terms of use and licence

These terms apply when you use the OfficeApps.IO website, try the OfficeApps.IO Style Suite, or buy a licence for it. Please read them before you buy. If you do not agree to them, do not install or use the Suite.
1. About us and these terms
OfficeApps.IO is a trading name of Adams Technology Limited, a company registered in England and Wales with company number 10497954. Our VAT number is 257257484.

We sell the Suite only to businesses and other organisations, not to consumers. By starting a trial or buying a licence, you confirm that you are acting on behalf of an organisation and have authority to accept these terms for it. In these terms, "you" means that organisation.
2. Definitions
- Suite: the OfficeApps.IO Style Suite of SharePoint Framework web parts, including updates and documentation we provide.
- Tenant: a single Microsoft 365 tenant, identified by its Microsoft Entra tenant ID.
- Licence Term: the 12 months covered by a licence purchase.
- Trial: the free 30-day evaluation period described in section 3.
3. Free trial
The Trial starts automatically the first time any web part in the Suite loads in your Tenant and lasts 30 days. Each Tenant can have one Trial.
The Trial is provided free of charge and "as is", without the warranty in section 11. When it ends, the web parts stop displaying their content until you buy a licence.
4. Buying a licence
A licence costs £825 + VAT for each Tenant for each Licence Term. UK VAT is added at the applicable rate (currently 20%). The total you pay is shown before you confirm payment.
Card payments are processed by Stripe. We do not see or store your full card details. If we agree to invoice you, payment is due within 30 days of the invoice date unless the invoice says otherwise.
Our contract with you is formed when your payment is confirmed. We then activate the licence for the Tenant you named at checkout and email you a confirmation and a VAT invoice.
Please make sure the Tenant you name at checkout is correct. If you name the wrong Tenant, contact us within 14 days and we will move the licence to the correct one.
5. Licence term and renewal
Your licence starts when it is activated and lasts for the Licence Term. If you buy a licence while an existing paid licence for the same Tenant is still active, the new Licence Term is added to the end of the existing one.
Licences do not renew automatically, and we never charge you without your instruction. We may email you before your licence ends to remind you to renew.
6. Your licence to use the Suite
During the Trial and each paid Licence Term, we grant you a non-exclusive, non-transferable licence to install and use the Suite in your Tenant for your organisation’s own business purposes. You may use the Suite on any number of sites in the Tenant, by any number of users.
Your contractors and service providers may install, configure and support the Suite for you, as long as they do so only for your benefit and you remain responsible for them.
7. Restrictions
Except where the law allows it regardless of these terms, you must not:
- use the Suite in any Tenant other than the licensed one;
- copy, modify, adapt or create derivative works of the Suite;
- reverse engineer, decompile or disassemble the Suite;
- sell, rent, lease, sublicense or otherwise make the Suite available to anyone outside your organisation;
- remove or alter any copyright, trademark or other proprietary notices;
- block, bypass or interfere with the licence check or any other technical protection in the Suite;
- use the Suite to build a competing product, or for anything unlawful or harmful.
8. Licence checks and refunds
8.1 Licence checks
Each time a web part loads, it contacts our licence server to confirm that your Tenant has a valid Trial or licence. It sends your tenant ID, the signed-in user’s login name and the address of the site. It does not send any of your SharePoint content. Our privacy policy explains what we store.
If the check fails, or the Trial or licence has ended, the web parts show a licence message instead of their content. Your pages, content and web part settings are not affected.
8.2 Refunds
Because you can evaluate the whole Suite free of charge during the Trial before you buy, licence fees are non-refundable, except as set out in section 11 or where the law requires a refund.
9. Updates and support
We may release updates to fix problems, keep the Suite compatible with SharePoint Online, or add features. Updates released during your Licence Term are included in your licence. You install them by uploading the latest package to your app catalogue.
We provide support by email at support@officeapps.io during our support hours (Monday to Friday, 9am to 6pm UK time). We will use reasonable efforts to respond within one working day and to resolve problems with the Suite, but we cannot guarantee a resolution time.
10. Your responsibilities
- Keep a valid Microsoft 365 subscription that includes SharePoint Online, and follow Microsoft’s terms.
- Control who can install, configure and edit the web parts, using SharePoint permissions.
- Check that the content you display with the Suite complies with the law and your own policies.
- Test updates in a way that suits your organisation before rolling them out widely.
11. Our promise about the Suite
We promise that, during a paid Licence Term, the Suite will work substantially as described on our website when used in SharePoint Online.
If it does not, tell us. We will try to fix the problem within a reasonable time. If we cannot, you may end your licence and we will refund the fee for the unused part of the Licence Term.
Apart from this promise, and to the extent the law allows, the Suite is provided without any other warranties, conditions or terms, whether express or implied. Microsoft may change SharePoint Online in ways that affect the Suite; we will make reasonable efforts to respond to such changes, but we are not responsible for them.
12. Our liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
Subject to that, we are not liable for any loss of profit, revenue, business, goodwill, anticipated savings or data, or for any indirect or consequential loss.
Subject to that, our total liability to you under or in connection with these terms is limited to the licence fees you paid us in the 12 months before the event giving rise to the claim.
13. Intellectual property
We and our licensors own all intellectual property rights in the Suite and this website. These terms give you a licence to use the Suite and do not transfer any ownership to you.
14. Suspension and ending the licence
We may suspend or end your licence if you seriously breach these terms and, where the breach can be put right, you do not put it right within 14 days of our written notice.
When a licence ends, you must stop using the Suite in the Tenant and remove it from your app catalogue unless you buy a new licence. Sections 7, 12, 13 and 18 continue to apply.
15. Microsoft
The Suite is our product, not Microsoft’s. Microsoft is not a party to these terms and does not provide support or warranties for the Suite. SharePoint, Microsoft 365 and Microsoft Entra are trademarks of the Microsoft group of companies.
16. Using this website
You may use this website to find out about the Suite, download it, and buy licences. You must not misuse the website, for example by trying to gain unauthorised access, introducing malicious code, or sending unsolicited messages through our contact form.
We make reasonable efforts to keep the information on this website accurate and up to date, but it is provided for general information.
17. Changes to these terms
We may update these terms from time to time. The terms in force when you buy a licence apply to that Licence Term. If we need to make a change that materially affects a licence you have already paid for, we will tell you by email first.
18. General
- Export and sanctions: you must comply with all export control and sanctions laws that apply to your use of the Suite.
- Events outside our control: we are not responsible for delays or failures caused by events beyond our reasonable control.
- Transfer: you may not transfer your rights under these terms without our written consent. We may transfer ours to another organisation, and will tell you if we do.
- Third parties: no one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
- Severability: if a court finds part of these terms unenforceable, the rest continues to apply.
- Entire agreement: these terms, together with your order confirmation, are the whole agreement between us about the Suite.
- Law and courts: these terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
